I've been building web sites at work and figured I need a portfolio since we have done quite a few sites now.

All I really have to show off is web sites and some flash thingies I've made. So do I show maybe 6 sites and a few of my flash thing-a-ma-bobs?

I dont know how to showcase them though or what to say about them. Do I put the site name, year, and a paragraph of info OR just a picture and what I did in bullets? Some of the sites I only did the template and CSS for. A few I did everything but the logo and a couple I helped out on some of the coding also. I know you cant type much in portfolios so I'm not sure how to explain what I did on each site.

Also what do you do if a site that you did, is no longer maintained by you or your job anymore, meaning that the site has gone to crap now, so if someone looks at the link it wont look like how we designed it and how it was for 2yrs before they wanted to handle it themselves.

How you display your site is completely up to you. Here are a few examples of how some designers do it:

    http://mattbrett.com/design
    http://elliotjaystocks.com/portfolio/
    http://cameronmoll.com/portfolio/
    http://jaredigital.com/portfolio/
    http://anixstudio.com/
    http://www.daleharris.com/
    http://superlover.com.au/
    http://aeiko.net/

Your site shows off who you are, and what you can do (obviously) so the only person to take cues from is yourself. Go by what you think works best, your style, and what you think looks best.

As for your last question, if you did one design for a site, but no longer have control over it, then don't link it. Simple as that, in 5 years, it's not very likely every site you've ever done will still have your work up, thats why you grow and expand, linking every single site you've designed for isn't needed :) Just your best work, thats still displayed.
